Terms and Conditions 

1. Sales. 

• Because Buyer’s remitted order (“Purchase Order”) is final, Buyer must carefully measure Buyer’s space. Flooring4LessOnline.com will not give any refunds or exchanges, unless otherwise specified, in writing, by Flooring4LessOnline.com. 

2. Terms of Payment. 

• Buyer must remit full payment for the purchase of goods and/or services, including any past due amounts, tax, shipping and any other amounts due, (“Full Payment”) by credit card or ACH Bank Transfer, unless otherwise indicated on Floor4LessOnline.com’s invoice. Flooring4LessOnline.com will not ship, deliver or release Buyer’s order until Flooring4LessOnline.com receives Buyer’s Full Payment. Buyer will indemnify and hold Flooring4LessOnline.com harmless from all loss, damages, wire fraud, expense or liability in connection with such use of a credit card or ACH bank transfer. 

3. Acceptance of Invoices.

• Flooring4LessOnline.com will generate an invoice after receipt of Buyer’s Purchase Order. Buyer agrees to immediately examine such invoices and to advise Flooring4LessOnline.com, in writing and within 10 calendar days of Flooring4LessOnline.com’s remittance of the invoice to Buyer, of any disputed transactions or charges. Buyer’s failure to give Flooring4LessOnline.com a written notice of dispute with respect to any transaction or charge on any invoice, within 10 calendar days of remittance, will constitute Buyer’s waiver of any and all disputes or claims regarding the Purchase Order. 

4. Taxes. 

• Any applicable federal, state, or other governmental tax or assessment on the sale of goods or services covered under this Agreement will be added to Flooring4LessOnline.com’s invoice and will be paid by Buyer. 

5. Form of Payment. 

• Payments to Flooring4LessOnline.com can be made via credit card or ACH Bank Transfer. ACH transfers are held for 5 days prior to shipping your order. Flooring4LessOnline.com also accepts Visa, MasterCard, American Express and Discover. A 3% card processing fee will be added to all credit card transactions. There is no additional processing fee for ACH bank transfers. 

6. Limited access deliveries.

• It is Buyer’s responsibility to notify Flooring4LessOnline.com of any limited access to the jobsite, including, but not limited to low hanging power lines, low hanging tree branches, stairs, gravel roads and narrow, steep roads, etc. If the Carrier cannot deliver Buyer’s order due to limited access, Buyer is responsible to pay any and all associated reconsignment fees. 

7. Delivery Acceptance.

• Buyer is solely responsible to inspect all orders immediately upon Buyer’s receipt of the order. While the delivery driver (“Carrier”) is present, Buyer must note any damages or missing materials on both the Carrier’s and the consignees’ delivery receipt. 
• Any damage not noted on the Carrier’s and the consignees’ delivery receipt, will be considered a concealed damage claim. Buyer must notify Flooring4LessOnline.com, in writing, within 5 calendar days of the delivery date of any concealed damage claims. 
• Concealed damage claims have a low approval percentage. Therefore, it is in the Buyer’s best interest to inspect all the materials, immediately upon receipt. Do not discard any boxes until the Carrier requests an independent inspector come to the delivery site. Failure to comply with these terms will void all possible refund or replacement claims.
• Carriers have up to 120 days to approve or deny a claim. Flooring4LessOnline.com will replace shortages, provided that, Buyer noted the shortage on the Carrier’s and on the consignees’ delivery receipt. In the event of any damage, Flooring4LessOnline.com reserves the right to offer a refund or a replacement at Flooring4LessOnline.com’s choosing. 

8. Product Delivery.

• Flooring4LessOnline.com cannot control the schedule or timing of the actual delivery. The Carrier is an independent company with a schedule outside the control of Flooring4LessOnline.com. Should Buyer require an order within a specific window of dates, it is Buyer’ s responsibility to contact the Carrier and arrange delivery. All deliveries are “curbside” deliveries. The Carrier will place your order next to your curb or driveway, or in the street in front of your jobsite, unless otherwise noted. The Carrier will contact a residential buyer prior to delivery. The Carrier will not contact a business buyer prior to delivery. If Buyer causes or is responsible for any delivery delay, including, but not limited to project rescheduling, consignee unavailability, buyer unavailability, incorrect delivery address, etc., Buyer is responsible for any and all storage, additional delivery charges and any re-consignment fees. 
• Refuse Deliveries/Lost shipment/Returns. If your order appears to be damaged at time of delivery, do not refuse your order. Instead, call Flooring4LessOnline.com immediately @ 888-724-9001. Refused or returned orders are subject to a 25% restock fee and the cost of freight both ways. 
• If the Carrier loses your order, or if your order cannot otherwise be located, Flooring4LessOnline.com reserves the right to attempt to locate or to locate your order. Flooring4LessOnline.com will respond to Buyer within 10 business days of the original delivery date. If Flooring4LessOnline.com is unable to locate your order within 10 business days, then
• Flooring4LessOnline.com will re-order and ship your Order at no additional expense. Lost orders cannot and will not be canceled. 
• Returned orders must be approved and must be returned in their original received condition. Any damaged or missing boxes will not be credited. Buyer must make all returns within 30 calendar days of Buyer’s receipt of the order. If Flooring4LessOnline.com warehouses Buyer’s order, the 30-calendar day return window commences when Flooring4LessOnline.com receives the order at Flooring4LessOnline.com’s warehouse. 
• Once the order is shipped, or once Flooring4LessOnline.com receives the order at Flooring4LessOnline.com’s warehouse, Buyer cannot cancel the order. Buyer can only return the order, subject to the 25% restocking fee and freights costs both ways. 
• Special Orders. Special orders & moldings cannot be returned for any reason. The lead time for special orders is 3-14 weeks. 

9. Indemnification. 

• Buyer agrees to defend and hold Flooring4LessOnline.com, it’s owners, directors, officers and employees harmless against all claims in law or equity of any kind or character, including but not limited to claims for damages of any kind, expenses, legal fees or costs, that in any way arise out of or relate to Flooring4LessOnline.com’s provision of goods, rentals or services to Buyer pursuant to the terms of this Agreement. 

10. Warranties.

• No expressed or implied warranties are made by Flooring4LessOnline.com. All products carried by Flooring4LessOnline.com are covered by the original manufacturer’s warranty. All warranties are specific to the product. 

11. Governing law. 

• THIS AGREEMENT IS GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF ARIZONA. 

12 Forum and Venue. 

• WITH RESPECT TO ANY DISPUTE ARISING UNDER THIS AGREEMENT, DIRECTLY OR INDIRECTLY, BUYER EXPRESSLY SUBMITS AND CONSENTS TO THE JURISDICTION OF AND THE PROPER VENUE IN THE STATE OF ARIZONA AND IN THE MARICOPA COUNTY, 

13 SUPERIOR COURT. 

• THE CHOICE OF FORUM SET FORTH IN THIS SECTION SHALL NOT BE DEEMED TO PRECLUDE FLOORING4LESSONLINE.COM’s BRINGING OF ANY ACTION, OR FLOORING4LESSONLINE.COM’s ENFORCEMENT OF ANY JUDGEMENT OBTAINED IN SUCH FORUM, IN ANY OTHER APPROPRIATE JURISDICTION. 

14. Waiver of remedies. 

• Any waiver of any provision of this Agreement, or of any right under this Agreement, by Flooring4LessOnline.com, at any time, will not be construed as a waiver or bar of any such right or provision at any future time, unless Flooring4LessOnline.com expressly states in writing. 

15 Amendments. 

• This Agreement may not be amended in any manner except in writing, signed and dated by both Flooring4LessOnline.com and Buyer. Buyer can submit Buyer’s proposed amendments to Flooring4LessOnline.com by email @ cs@flooring4LessOnline.com, or by fax @ 480-535-1140. 

16 Severability/Entire Agreement.

• If any provision of this Agreement is deemed invalid, illegal or unenforceable in any jurisdiction, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired thereby. 

17 Advice of counsel. 

• By entering into this Agreement, Buyer represents that Buyer has been afforded an opportunity to read and fully understand this Agreement. Buyer has been given the opportunity to consult with legal counsel prior to signing. Buyer warrants that this Agreement is executed freely and voluntarily and is not based on any assurances or statements of any kind made by Flooring4LessOnline.com or its agents, except as otherwise contained herein. Buyer, or Buyer’s representative, by signing below, represents and affirms that he or she has the capacity and full authority to enter into this Agreement and to bind Buyer to the terms and conditions of this

18 Agreement. 

• Copies of this Agreement, maintained by Flooring4LessOnline.com, are considered a valid original. 

LEGAL LITIGATION 
We reserve the right to litigate in Maricopa County, Arizona.
